Commercial Lease Essentials

What foreign-owned businesses need to know before signing a commercial lease in Korea. This is general guidance, not legal advice — have any lease reviewed by a licensed attorney before signing.

Key Money (권리금, Gwonrigeum)

A payment to the outgoing tenant for an existing location's customer base, fixtures, and goodwill — separate from the deposit paid to the landlord. It is unregulated and negotiable, so always get a written breakdown (facility vs. goodwill vs. floor rights) before paying.

Deposit & VAT

Commercial deposits (보증금) are typically 10x the monthly rent, paid to the landlord and returned at lease end. Commercial rent and deposits are usually quoted plus 10% VAT — confirm whether a quoted figure is VAT-inclusive before signing.

Business Registration First

Most landlords and banks require a signed lease before you can complete Korean business registration (사업자등록) — but you'll often need a registered entity to open the commercial bank account that funds the deposit. Sequence this with your corporate attorney to avoid a chicken-and-egg delay.

Standard Lease Term

Commercial leases commonly run 1-2 years with a right to request a 5-year renewal under the Commercial Building Lease Protection Act, capped rent increases (generally 5%/year), though renewal rights and caps have exceptions for higher-value leases — have a licensed attorney review the specific terms.

Restoration Obligations

Most commercial leases require you to restore the space to its original (원상복구) condition at move-out, at your cost. Photograph the space's original condition before build-out and get the restoration scope in writing.

Foreign-Owned Entity Considerations

A foreign-invested company (FDI-registered) may face additional landlord due diligence and sometimes higher deposit requests. A local corporate attorney or commercial realtor can pre-screen landlords who are experienced working with foreign-owned tenants.
